Founders in Jammu regularly ask us to "register my startup" meaning one of two completely different things: incorporating a company, or obtaining DPIIT recognition under the Startup India scheme.
They are sequential, not alternative. This page explains both and the order that saves you time and money.
Definition: company registration (incorporation)
Incorporation creates the legal entity — a Private Limited Company, LLP or One Person Company — through the Ministry of Corporate Affairs SPICe+ process. You receive a Certificate of Incorporation, CIN, PAN and TAN. Without this (or an LLP or registered partnership), there is no entity to recognise.
Definition: DPIIT startup recognition
DPIIT recognition is a certificate issued by the Department for Promotion of Industry and Internal Trade to an already-incorporated entity that is under 10 years old, has turnover below ₹100 crore, and is working on innovation or a scalable business model. It is applied for free on the Startup India portal.
What each one gives you
The benefits are quite different, which is why most serious Jammu founders end up doing both.
- Incorporation: limited liability, a bank account in the company's name, ability to raise equity, credibility with suppliers and government tenders
- DPIIT recognition: self-certification under 9 labour and 3 environment laws, income tax exemption under Section 80-IAC (on separate approval), angel tax exemption under Section 56(2)(viib), IPR fast-tracking with 80% rebate on patent fees, and access to J&K government startup policy incentives
- Only DPIIT recognition qualifies you for the J&K Startup Policy benefits administered through the state's industries and commerce department
Correct order for a Jammu founder
Doing these out of order wastes weeks.
- 1. Decide structure — Private Limited for fundraising, LLP for services with low capital needs
- 2. Obtain DSC and DIN for the directors
- 3. Incorporate through SPICe+ and collect the Certificate of Incorporation, PAN and TAN
- 4. Open the company bank account and take GST registration if applicable
- 5. Apply for DPIIT recognition on startupindia.gov.in with the incorporation certificate and a write-up on innovation
- 6. Apply separately for 80-IAC tax exemption once recognised, if eligible
Costs in 2026
DPIIT recognition itself is free. Incorporation of a Private Limited Company in J&K typically costs ₹6,000–12,000 in government and stamp duty charges depending on authorised capital, plus DSC charges of roughly ₹1,000–1,500 per director and professional fees.
